2. Services Provided
Augemobi Media provides an online advertising network marketplace that allows Advertisers to buy ad inventory and Publishers to sell ad inventory (the "Services"). We act as an intermediary and do not own the inventory or the creatives.
3. Advertiser Terms
3.1 Creative Policy
All ad creatives must comply with applicable local and international laws. Prohibited content includes but is not limited to: malware, phishing, adult content in non-adult zones, hate speech, illegal drugs, and misleading claims ("Clickbait"). We reserve the right to reject any campaign at our sole discretion without providing a specific reason.
3.2 Payments & Refunds
Advertisers operate on a prepaid basis unless approved for a corporate credit line. All deposits are non-refundable except in cases where a campaign was rejected before delivery. Usage is calculated based on Augemobi's tracking statistics, which shall be considered final and binding.
3.3 Liability for Content
Advertisers agree to indemnify and hold Augemobi harmless from any claims arising out of the content of their advertisements, including but not limited to copyright infringement, trademark violation, or defamation.
4. Publisher Terms
4.1 Traffic Quality Guidelines
Publishers must not use bots, proxies, VPNs, or any automated means to generate impressions or clicks. We strictly prohibit "incentivized" clicks unless explicitly agreed upon. Any detection of Invalid Traffic (IVT) will result in immediate account suspension and withholding of all unpaid earnings.
4.2 Payment Terms
Payments are issued on a Net-30 basis for balances exceeding $100 USD. Supported payment methods include Wire Transfer ($500 minimum), PayPal, and Crypto (USDT). If a Publisher's account is suspected of fraud, payment may be held for up to 180 days pending investigation.
4.3 Termination
We reserve the right to terminate a Publisher's account at any time for violation of these Terms. Upon termination for cause, all earnings are forfeited.
5. Intellectual Property Rights
Unless otherwise indicated, the Site is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the “Content? and the trademarks, service marks, and logos contained therein (the “Marks? are owned or controlled by us or licensed to us.
6. Disclaimer of Warranties
The site and services are provided on an "as-is" and "as-available" basis. We disclaim all warranties, express or implied, regarding the site and your use thereof, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
7. Limitation of Liability
In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the site, even if we have been advised of the possibility of such damages.
8. Indemnification
You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys?fees and expenses, made by any third party due to or arising out of: (1) your use of the Site; (2) breach of these Terms of Use; (3) any breach of your representations and warranties set forth in these Terms of Use.
9. Governing Law
These Terms shall be governed by and defined following the laws of Hong Kong. Augemobi Media and yourself irrevocably consent that the courts of Hong Kong shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
